Veritas Draft Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Veritas Draft website, applications, and services (collectively, the "Service") provided by Veritas Draft LLC ("Veritas Draft," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms.
If you are using the Service on behalf of a firm or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
1) The Service
Veritas Draft provides software tools that help users analyze and summarize documents and generate structured outputs (e.g., summaries, timelines, issues, contradictions, follow-ups) and associated evidence references (collectively, "Outputs"). The Service may use machine learning and large language models ("AI") to generate Outputs.
No Legal Advice. The Service does not provide legal advice. Outputs are informational and assistive only. You are solely responsible for reviewing Outputs, verifying citations and accuracy, and determining their suitability for your purposes.
2) Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate account information and maintain the security of your credentials. You are responsible for all activity under your account.
3) Customer Content
"Customer Content" means any documents, text, files, prompts, or other materials you submit to the Service, and any derived data you store in the Service (including annotations and metadata), excluding aggregated or anonymized usage metrics described below.
You retain all rights in Customer Content, subject to the rights granted in these Terms.
4) License Grant to Operate the Service
You grant Veritas Draft a limited, non-exclusive, worldwide license to host, store, transmit, process, and display Customer Content solely to:
- provide and maintain the Service,
- generate Outputs,
- prevent or address technical or security issues,
- comply with law.
5) Outputs
As between the parties, you own your Outputs to the extent permitted by law. You are responsible for:
- ensuring Outputs are accurate and appropriate,
- confirming evidence references,
- complying with any professional, ethical, confidentiality, or court rules.
AI Limitations. AI systems may produce incorrect, incomplete, or misleading information. Do not rely on Outputs without independent review.
6) Confidentiality and Sensitive Data
You may upload confidential materials. You are responsible for ensuring your use complies with your obligations (including client confidentiality, protective orders, HIPAA/PHI where applicable, and similar requirements).
Restricted Content. Unless you have a signed addendum explicitly permitting it, you agree not to upload:
- information subject to export control restrictions,
- highly sensitive regulated data (e.g., certain PHI) if your plan does not support it,
- any content you do not have the right to use.
7) Subprocessors and Inference Providers
Veritas Draft may use third-party subprocessors (e.g., cloud hosting, databases, analytics, AI inference providers) to deliver the Service. We require subprocessors to protect Customer Content with appropriate security measures consistent with these Terms.
A current list of subprocessors is available upon request.
8) Security
We implement administrative, technical, and organizational measures designed to protect Customer Content. However, no system is 100% secure. You acknowledge and accept this risk.
9) Acceptable Use
You agree not to:
- use the Service for unlawful, harmful, or infringing purposes,
- attempt to access other users' data,
- reverse engineer or probe the Service,
- interfere with operation (including abuse of rate limits),
- upload malware or malicious code.
10) Plans, Fees, and Billing
Paid plans, usage limits, and fees are described on our pricing page or order form ("Order Form"). You agree to pay all applicable fees and taxes.
No Refunds. Except as required by law or stated in an Order Form, fees are non-refundable.
Overages / Usage. If your plan includes usage limits, you may incur overage charges or throttling as described in the Order Form.
11) Term and Termination
These Terms remain in effect while you use the Service.
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service or other users.
Upon termination, your access ends. We will handle Customer Content per the "Data Retention" section and our Privacy Policy.
12) Data Retention and Deletion
Default retention rules are described in our Privacy Policy and may vary by plan.
You may request deletion of your account and associated Customer Content. Some information may be retained as required by law, for security, dispute resolution, fraud prevention, or legitimate business purposes (e.g., billing records).
13) Intellectual Property
We own the Service, including software, design, and all improvements, except Customer Content and Outputs as described above.
You may not use our trademarks without written permission.
14) Disclaimers
THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITAS DRAFT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE OR COMPLETE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- VERITAS DRAFT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
- VERITAS DRAFT'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO VERITAS DRAFT FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS).
Some jurisdictions do not allow certain limitations, so some may not apply.
16) Indemnification
You agree to indemnify and hold Veritas Draft harmless from claims arising out of:
- your Customer Content,
- your misuse of the Service,
- your violation of law or these Terms.
17) Governing Law; Disputes
These Terms are governed by the laws of California, USA, excluding conflict of law rules.

18) Changes
We may update these Terms. If changes are material, we will provide notice (e.g., via email or in-app). Continued use after changes means you accept the updated Terms.
